Welcome to Materia Engineering LLC ("Materia," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, products, services, engineering support, manufacturing services, and commercial transactions.
By accessing our website, requesting a quote, submitting project information, placing an order, or engaging our services, you agree to be bound by these Terms.
1. About Materia Engineering LLC
Materia Engineering LLC specializes in advanced composite engineering, carbon fiber manufacturing, tooling, prototyping, product development, and custom manufacturing solutions for commercial and industrial customers.
Our services may include design consultation, engineering support, prototype development, tooling, production manufacturing, and related services.
2. Quotes and Orders
All quotations provided by Materia are non-binding until accepted by both parties in writing.
Orders are considered confirmed only upon:
Written acceptance by Materia;
Issuance of a purchase order, quotation acceptance, or invoice; and
Satisfaction of any required deposit or payment terms.
Customers are responsible for reviewing all specifications, drawings, dimensions, materials, quantities, and project requirements prior to approval.
3. Pricing and Payment
All pricing is stated in the applicable currency specified in the quotation or invoice.
Unless otherwise agreed in writing:
Engineering, tooling, and custom manufacturing projects may require an advance deposit prior to commencement.
Remaining balances shall be due according to the payment terms specified on the invoice.
Late payments may result in project delays, suspension of services, or additional fees.
All payments made are non-refundable once engineering, tooling, production, or material procurement has commenced.
4. Custom Manufacturing and Engineering Services
Many Materia products and services are custom-designed and manufactured to customer specifications.
Customers acknowledge that:
Final products may include reasonable manufacturing tolerances.
Minor cosmetic variations may occur in composite materials, including carbon fiber weave patterns, finishes, and surface appearance.
Custom products are manufactured based on customer-approved specifications and requirements.
Any design changes requested after project approval may result in additional costs and revised delivery schedules.
5. Delivery and Lead Times
Estimated production and delivery timelines are provided in good faith but are not guaranteed.
Materia shall not be liable for delays caused by:
Supply chain disruptions;
Material shortages;
Shipping carrier delays;
Customs processing;
Force majeure events; or
Customer-requested design changes.
Risk of loss transfers to the customer upon delivery to the designated shipping carrier or upon receipt of goods by the customer, whichever occurs first.
6. Inspection and Acceptance
Customers must inspect all products promptly upon delivery.
Any claims regarding defects, shortages, shipping damage, or non-conformance must be submitted in writing within seven (7) calendar days of receipt.
Failure to provide written notice within this period constitutes acceptance of the products delivered.
7. Intellectual Property
Unless otherwise agreed in writing, all intellectual property, engineering processes, manufacturing methods, tooling designs, drawings, documentation, website content, graphics, trademarks, and proprietary information remain the exclusive property of Materia Engineering LLC.
No intellectual property rights are transferred except as expressly stated in a written agreement.
8. Warranty Disclaimer
Materia warrants that products will be manufactured substantially in accordance with agreed specifications.
Except as expressly stated herein, all products and services are provided "as is" and "as available."
Materia disclaims all other warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Materia Engineering LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of data.
Materia's total liability arising from any claim shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.
10. Force Majeure
Materia shall not be responsible for delays or failure to perform obligations due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, war, terrorism, transportation disruptions, material shortages, utility failures, or other force majeure events.
11. Website Use
Users agree not to:
Use the website for unlawful purposes;
Attempt unauthorized access to systems or data;
Introduce malicious software or harmful code;
Copy, reproduce, or distribute website content without permission.
We reserve the right to restrict or terminate access to our website at any time.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Any dispute, claim, or controversy arising out of or relating to these Terms, the use of our website, or any products or services provided by Materia Engineering LLC shall first be addressed through good-faith negotiations between the parties.
If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.
Both parties agree to submit to the jurisdiction of the UAE courts for the resolution of any disputes arising under these Terms.

Materia reserves the right to update or modify these Terms at any time. Updated versions will be posted on this page with a revised effective date.
